The 2013 Biggest Energy Saver Lighten Your Load Sweepstakes (the “Sweepstakes” or “Promotion”) begins at 12:00:00 AM Central Daylight Time (“CDT”) on May 8, 2013 and ends at 11:59:59 PM CDT on September 20, 2013 (“Promotion Period”). Sweepstakes open only to consumers whose electricity is delivered by Oncor Electric Delivery Company LLC (“Oncor”) or CenterPoint Energy Houston Electric, LLC (“CenterPoint”) and who reside in the state of Texas. Void elsewhere.

PROGRAM DESCRIPTION: Consumers whose electricity is delivered by Oncor or CenterPoint and reside in the state of Texas may enter the Sweepstakes whereby they are tasked with decreasing their electricity usage throughout a series of scheduled Lighten Your Load Events (defined in the “HOW TO ENTER” Phase I section below). The Sweepstakes will be divided into two (2) phases (Phase I and Phase II). During Phase I, consumers will be required to register for the Promotion and then will have the opportunity to earn entries and points by participating in Lighten Your Load Events (defined in the “HOW TO ENTER” Phase I section). Phase I includes three (3) separate entry periods each with a random drawing. Phase II will begin after Phase I has ended. Points that were earned in Phase I can be entered in up to six (6) separate Phase II Sweepstakes. In order to participate in Phase II the entrant must have participated in Phase I.

ELIGIBILITY: The Promotion is open to consumers whose electricity is delivered by Oncor or CenterPoint and who reside in the state of Texas and meet the following eligibility criteria: [1] they are the authorized account owner / the responsible party (“authorized account holder” is defined as the natural person responsible for all account-related issues such as bill payment, etc.) ; [2] they are at least 18 years of age at the time of entry; [3] they have been at their current residence (as principal dwelling) since May 1, 2013 and will remain at this residence through the end of the Promotion Period; [4] they reside in a home with a fully functioning smart meter installed by Oncor or CenterPoint on or before May 1, 2013, and certified as approved and accepted by Oncor or CenterPoint, respectively; (customers may contact Oncor, CenterPoint or their Retail Electric Provider to confirm meter approval / acceptance); [5] the smart meter must serve only one (1) house, apartment, condominium or townhouse; [6] they are on a residential rate from one (1) or more Retail Electric Providers (REPs) at all times during the period beginning June 1, 2013 and ending August 31, 2013; and remain a customer in good standing during this time without any periods of disconnection; and [7] they agree to release usage data and entry information to Promotion Entities as defined below, as well as Oncor and CenterPoint, respectively (each such consumer, a “Qualified Entrant” or “Entrant”). By registering, Entrants confirm age and consent to having entry information shared with Grid 21 (“Sponsor”), and Marden-Kane, Inc. (the “Administrator” and, together with Sponsor, “Promotion Entities”). Employees, officers and directors of Promotion Entities, their respective parent companies, affiliates, subsidiaries, contractors, related entities, advertising, promotional, public relations, fulfillment and marketing agencies supporting the Sweepstakes, founding partners (Oncor and CenterPoint) and collaborators of the Biggest Energy Saver Campaign (Itron and Landis+Gyr), employees of the Public Utility Commission of Texas, and members of their immediate families (parent, child, sibling and spouse) or households (whether related or not) of any of the above, during the Promotion Period are not eligible to participate in the Promotion or to win any prize. Entrants deemed as Winners will be required to produce proof of age, proof of address, and agree to allow the information provided on their entry to become public knowledge. By entering the Promotion, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, as defined in further detail below, which shall be final and binding in all respects.

HOW TO ENTER:

Phase I: To participate in the Sweepstakes you must first register. There are two (2) ways to register: [1] go to www.BiggestEnergySaver.com (the “Promotion Website”) and provide the requested information on the registration form and read and agree to the Official Rules and Privacy Policy or [2] visit the Biggest Energy Saver application on the Facebook Platform at www.Facebook.com/BiggestEnergySaver, www.Facebook.com/Oncor or www.Facebook.com/CenterPointEnergy (collectively, the “Facebook Application”), click on the “Promotion Icon” and then follow the on-screen instructions on the "Facebook BES" Application by providing the information required on the registration form and read and agree to the Official Rules and Privacy Policy. Registration will begin at 12:00:00 AM CDT on May 8, 2013 and will close on 11:59:59 PM CDT on July 31, 2013 (“Registration Period”). Phase I will consist of three (3) monthly Entry Periods (“Entry Periods”), as outlined in the chart below. Entrants will only need to register once to be eligible for the current, and as applicable, all future Entry Periods. Throughout Phase I, Entrants are tasked with managing their electricity usage during a series of scheduled Lighten Your Load Events (an “Event”) as compared to the Entrant’s average energy usage over the same time period during the prior three (3) business days. Each Event will begin at 4:00:00 PM CDT and end at 7:00:00 PM CDT on the specified Event date. Registered Entrants will be alerted by email and/or notification posted within the My Account Section of the Promotion Website or on the Facebook Application approximately twenty-one (21) hours prior to the start of an Event. One (1) Sweepstakes entry is earned for participation in each Event, which is defined as a decrease in energy use during an Event compared to the Entrant’s average energy use over the same time period during the prior three (3) business days (“Eligible Entry”). Entries will automatically be entered into the appropriate Entry Period Drawing. Sponsor in its sole discretion will determine the number and frequency of Events. Total number of Entries earned per Entry Period is based on total number of Events an Entrant participates in per Entry Period. Sponsor reserves the right to normalize all data for weather and meter read cycles as well as substitute estimated typical usage for non-use in case of sustained outages

Each Entry Period described in this table begins at 12:00:00 AM CDT on the Entry Period open date and ends at 11:59:59 PM CDT on the Entry Period close date.

Phase I Winner Selection / Notification: At the end of each of the three (3) Entry Periods, there will be a random drawing conducted per the timetable noted above. One (1) prize winner from the Oncor service area and one (1) prize winner from the CenterPoint service area will be selected in a random drawing from amongst all Eligible Entries received during each Entry Period (“Prize Winners”). During Phase I, an Entrant is eligible to win only one (1) prize. Each drawing will be conducted by the Administrator whose decisions are final on all matters relating to this Sweepstakes. Odds of winning depend upon the number of Eligible Entries received during each respective Entry Period. The potential Prize Winners will be notified by the Administrator utilizing information provided at registration, via mail and/or email and/or telephone per the timetable noted above. In the event that a potential Prize Winner cannot be contacted, or any requested information is not received within the requested time period, the potential Prize Winner will be disqualified and an alternate potential Prize Winner may be selected at the sole discretion of the Sponsor. The potential Prize Winner is subject to eligibility verification and compliance with these Official Rules. The potential Prize Winner will be required to sign, notarize, and return an Affidavit of Eligibility/Liability, a tax acknowledgement form, and where legal, a Publicity Release, collectively referred to as “Documentation”. All requested Documentation must be returned within five (5) days of initial issuance of written Prize Winner notification attempt, or an alternate potential Prize Winner will be selected, time permitting and at the sole discretion of the Sponsor. If the potential Prize Winner notification is returned as undeliverable or if requested Documentation is not returned within the stated timeframe, the corresponding Prize Winner will be disqualified and an alternate potential Prize Winner will be randomly selected and notified as per the procedures described above, time permitting. Should the potential Prize Winner decide to decline the prize for any reason whatsoever, the potential Prize Winner will be disqualified and Sponsor shall have no further obligation to that potential Prize Winner, and an alternate Potential Prize Winner will be selected time permitting. Each Entrant acknowledges and agrees that the Promotion Entities reserve the right to disqualify a potential Prize Winner at any time, in their sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted Documentation or any other forms requested by the Sponsor that, in their sole opinion, would constitute a breach of these Official Rules.

EACH POTENTIAL WINNER AGREES THAT THE SPONSOR MAY, AT ITS OPTION, CONDUCT, AND PERMIT THE ADMINISTRATOR TO CONDUCT A BACKGROUND CHECK ON HIM OR HER. WITHOUT LIMITING ANY OTHER RIGHTS OF THE SPONSOR SET FORTH IN THESE SWEEPSTAKES OFFICIAL RULES, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY POTENTIAL WINNER ON THE BASIS OF ANYTHING CONTAINED IN, LEARNED, OR OBTAINED AS A RESULT OF, SUCH BACKGROUND CHECK. UNLESS PROHIBITED BY LAW, POTENTIAL WINNER WILL BE REQUIRED TO SIGN WAIVER FORMS AUTHORIZING THE RELEASE OF PERSONAL AND CRIMINAL BACKGROUND INFORMATION TO SPONSOR AND THE ADMINISTRATOR, AND TO COMPLETE A BACKGROUND QUESTIONNAIRE TO REMAIN ELIGIBLE FOR THE SWEEPSTAKES.

Phase I Prizes: Six (6) Prizes: One (1) $250 Walmart Gift Card to each of the six (6) total Phase I Prize Winners. Two (2) Prizes will be awarded each Entry Period (one (1) each in the Oncor and CenterPoint service territories). Approximate Retail Value (“ARV”) of each Phase I Prize: $250. Total ARV of all Phase I Prizes: $1,500.

Phase II: Each Entrant who completes the Sweepstakes registration during the Registration Period will automatically earn twenty (20) points (“Points”). Entrants will also have the opportunity to earn additional Points based on the Percentage in Energy Reduction (as described in the “HOW TO ENTER” Phase I section above) during each Event throughout Phase I of the Promotion Period, in the amounts as outlined in the chart below:

After Phase I has ended, Points earned upon registration and earned for each Event will be tallied. Entrants will have the opportunity to enter Points in up to six (6) individual Sweepstakes (“Points Sweepstakes”) offered on the Promotion Website and/or on the Facebook Application. Entrants can view their “Points Earned” tally on the Promotion Website or on the Facebook Application by logging into the My Account section of the Promotion Website or on the Facebook Application and following the online directions. Point totals reflected on the Promotion Website or on the Facebook Application will be updated within five (5) business days after an Event has taken place.

Beginning at 12:00:00 AM CDT on September 9, 2013 and ending at 11:59:59 PM CDT on September 20, 2013 (“Points Allocation Period”), Entrants may enter their Points into one (1) or more of the offered Points Sweepstakes. One (1) Point equates to one (1) Entry, unless noted otherwise. Points can be used only as entries into the various Points Sweepstakes offered on the Promotion Website or on the Facebook Application. There is no minimum number of Points needed to participate in a Points Sweepstakes (providing that your account balance is greater than 0). Entrants can use their Points to enter any (or all) of the six (6) Points Sweepstakes on the Promotion Website or on the Facebook Application. Points have no cash value. Points earned are not considered to be the property of an Entrant and as such, one cannot sell, transfer, or assign their Points to any other person. Further, Points are not transferable as part of a domestic relations matter or otherwise by operation of law. Points may be revoked at any time by the Promotion Entities as set forth herein. All Entries become the property of Sponsor. Sponsor is not liable for any Points that were not allocated correctly. Any points not entered by the conclusion of the Points Allocation Period will be allocated to all available Sweepstakes on an equal basis by the Administrator.

Phase II Winner Selection / Notification: At the conclusion of the Points Allocation Period, there will be one (1) random drawing conducted on or about September 25, 2013 for each of up to eight (8) Points Sweepstakes (as per the chart below) from among all Eligible Entries received. Potential Prize Winners from both the Oncor service area and the CenterPoint service area will be selected in each random drawing amongst all Eligible Entries received during the Points Allocation Period as per the chart below. Each drawing will be conducted by the Administrator whose decisions are final on all matters relating to this Sweepstakes. Odds of winning depend upon the number of Eligible Entries received in each respective Points Sweepstakes. The potential Prize Winners will be notified by the Administrator utilizing information provided at registration, via mail and/or email and/or telephone within three (3) days of the drawing. In the event that a potential Prize Winner cannot be contacted, or any requested information is not received within the requested time period, the potential Prize Winner will be disqualified and an alternate potential Prize Winner may be selected at the sole discretion of the Sponsor. The potential Prize Winner is subject to eligibility verification and compliance with these Official Rules. The potential Prize Winner will be required to sign, notarize, and return an Affidavit of Eligibility/Liability, a W9 Form, Background Check Consent Form, and where legal, a Publicity Release, collectively referred to as “Documentation.” All requested Documentation must be returned within five (5) days of initial issuance of written Prize Winner notification attempt, or an alternate potential Prize Winner will be selected, time permitting and at the sole discretion of the Sponsor. If the potential Prize Winner notification is returned as undeliverable or if requested Documentation is not returned within the stated timeframe, the corresponding Prize Winner will be disqualified and an alternate potential Prize Winner will be randomly selected and notified as per the procedures described above, time permitting. Should the potential Prize Winner decide to decline the prize for any reason whatsoever, the potential Prize Winner will be disqualified and Sponsor shall have no further obligation to that potential Prize Winner, and an alternate potential Prize Winner will be selected, time permitting.

Total ARV of all Phase II Prizes: $29,320. Total ARV of all Prizes awarded in the Sweepstakes (Phase I and Phase II) is $30,820. Cash will be awarded as a check in the Winner’s name for any prize that includes cash as a prize portion. No prize substitution, cash value, transfer or assignment of any prize permitted, except by Sponsor in its sole discretion, or as otherwise provided herein. Gift Cards are subject to terms and conditions printed thereon. Limit of one (1) prize per person per Phase. Any difference between actual retail value and maximum appropriate value noted in these above will not be awarded as cash. Sponsor reserves the right to award a prize or portion thereof of equal or greater value if any prize or portion thereof becomes unavailable. Sponsor reserves the right to award up to only the number of prizes stated above. Any and all other expenses incurred but not listed herein are the Winners’ responsibility. Prize images utilized in support of this Promotion may not reflect the actual size, style, color or models of the actual prizes due to printing variations and/or manufacturer’s updates. Prizes will be shipped upon confirmation that Entrant has met stated eligibility criteria.

GENERAL CONDITIONS: Taxes, and all other expenses not specified herein, if any, are the responsibility of the Winners. By accepting a prize, Winners irrevocably grant to Sponsor, its affiliates, agents and licensees, as well as Oncor, CenterPoint and the Public Utility Commission of Texas, the right to unconditionally and perpetually reproduce, copy, store, transmit, publish, display, adapt and/or otherwise use or reuse their name, statements, voice, actual or simulated likeness and biographical material, and any other materials arising out of their participation in the Promotion, including without limitation personal information provided at time of Entry, in any manner or media whatsoever (whether known or hereafter devised), worldwide, without notice or compensation, for advertising and promotional purposes. Subject to applicable law, Winners waive any rights of privacy, intellectual property rights, and other rights that may preclude Sponsor from using or disclosing their personal information. Winners release Sponsor from any claims arising out of any use or disclosure of their Entry consistent with these Official Rules. Without limitation to the foregoing, by entering, each Entrant agrees that Sponsor may post any and all information obtained during registration and the Promotion Period on the Promotion Website or on the Facebook Application during and following the Promotion Period. The use or publication of an Entrant’s name or information in connection with the Promotion does not signify that the Entrant is a Promotion Winner.

If Entrant is named as a potential Winner or Winner, Entrant must also agree to speak in a public manner about their participation in the Sweepstakes (including, but not limited to, media) at a date and time determined by the Sponsor and/or its representatives.

INDEMNIFICATION: BY ENTERING THE PROMOTION, ENTRANTS AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS PROMOTION ENTITIES, AS WELL AS THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, RETAILERS, RELATED ENTITIES, PARTNERS AND COLLABORATORS ON THE BIGGEST ENERGY SAVER CAMPAIGN (INCLUDING, BUT NOT LIMITED TO, ONCOR, CENTERPOINT, AND THE AFFILIATES AND SUBSIDIARIES OF EACH), AGENCIES AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS OF EACH OF THE FOREGOING (COLLECTIVELY, “INDEMNIFIED PARTIES”), FROM AND AGAINST ANY AND ALL CLAIMS AND DAMAGES, INCLUDING WITHOUT LIMITATION THOSE RELATED TO BODILY HARM, MEDICAL EVENTS, VIOLATION OF PROPRIETARY OR PERSONAL RIGHTS, AND VIOLATIONS OF LAW (COLLECTIVELY, “CLAIMS AND DAMAGES”), WHETHER DIRECT OR INDIRECT, WHICH MAY BE DUE TO OR ARISE OUT OF PARTICIPATION IN THE PROMOTION, OR IN PROMOTION-RELATED ACTIVITIES, OR THE ACCEPTANCE, USE/MISUSE OR POSSESSION OF ANY PRIZE THAT MAY BE AWARDED PURSUANT TO THIS PROMOTION, ALL REGARDLESS OF WHETHER SUCH CLAIMS AND DAMAGES ARE CAUSED BY THE SOLE, JOINT, CONCURRENT, CONTRIBUTING OR COMPARATIVE NEGLIGENCE OR FAULT OF THE INDEMNIFIED PARTIES.

TAX INFORMATION: Any federal, state, local, and other taxes on prizes are the sole responsibility of each respective Winner.

DISCLAIMERS, FORCE MAJEURE, SOLE DISCRETION: Promotion Entities are not responsible for: (a) electronic transmissions or Entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected, all of which are void; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures, destruction or unauthorized access to, or alteration of, Entries; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to any Entrant’s or any person’s computer and/or its contents, or causes beyond the Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; or (d) any Entries submitted in a manner that is not expressly allowed under these Official Rules. If for any reason this Promotion cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Promotion, or if this Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, or if fire, flood, explosion, war, embargo, government requirement, fraudulent, criminal or negligent acts, security breaches, civil or military authority, terrorism, acts of God, acts or omissions of carriers, or any other cause beyond Sponsor’s control interferes with the process of the Promotion as contemplated by these Official Rules, as determined by Sponsor in its sole discretion, Sponsor, may, without prior notice, terminate, modify or suspend the Promotion, in whole or in part. If this Promotion is terminated before the original end date, Sponsor reserves the right, at its sole discretion, to determine the Potential Winners and Winners from among all non-suspect, Eligible Entries received up to the time of such action. In the event of termination of the Promotion, Sponsor will post a notice regarding the termination on the Promotion Website and/or on the Facebook Application. Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the Entry process or who enters using any automatic or programmed Entry duplication method. All decisions of Sponsor are final.

The Promotion Entities do not assume any responsibility for any disruption in the Promotion caused by circumstance or other unforeseen events outside of the control of the Promotion Entities. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Promotion materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.

GENERAL INFORMATION: In the event of any dispute on rights to any Promotion prize, said prize will be provided to the authorized account holder. Each Potential Winner must provide Sponsor with satisfactory proof (as determined via Sponsor’s sole discretion) that he/she is the responsible/authorized account holder associated with the potentially winning Promotion Entry. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. By entering the Promotion, each Entrant recognizes and agrees that the Entry information provided by Entrant will be made available to Sponsor and that the use of such information will be governed by Sponsor’s privacy policy available at http://biggestenergysaver.com/privacy/. Any and all disputes will be resolved in the appropriate courts in the District of Columbia exclusively, and subject to the laws of the District of Columbia should there be a conflict between the laws of the District of Columbia and any other laws, the conflict will be resolved in favor of the laws of the District of Columbia. Each Entrant irrevocably consents to the personal jurisdiction of said courts and waives any claim of forum non-conveniens or lack of personal jurisdiction such Entrant may have.

WINNERS LIST: Names of all Winners will be posted on the Promotion Website, www.BiggestEnergySaver.com and/or on the Facebook Application when announced. Winners’ names will be posted for a minimum of 30 days following awarding of the prizes.

The 2013 Biggest Energy Saver Reduce Your Use Contest (the “Contest” or “Promotion”) begins at 12:00:00 AM Central Daylight Time (“CDT”) on May 8, 2013 and ends at 11:59:59 PM CDT on August 31, 2013 (“Promotion Period”). The Promotion consists of a Registration Period and three (3) monthly Contest Periods (“Contest Period”) which are outlined in the chart below. Each Contest Period begins at 12:00:00 AM CDT on the start date and ends at 11:59:59 PM CDT on the end date indicated in the chart below. Promotion open only to consumers whose electricity is delivered by Oncor Electric Delivery Company LLC (“Oncor”) or CenterPoint Energy Houston Electric, LLC (“CenterPoint”) and who reside in the state of Texas. Void elsewhere.

PROGRAM DESCRIPTION: Consumers whose electricity is delivered by Oncor or CenterPoint and who reside in the state of Texas may enter the Promotion whereby they are challenged to manage their electricity usage by utilizing information from advanced electrical metering (via the use of a smart meter).

ELIGIBILITY: The Promotion is open to consumers whose electricity is delivered by Oncor or CenterPoint and who reside in the state of Texas and meet the following eligibility criteria: [1] they are the authorized account owner / the responsible party (“authorized account holder” is defined as the natural person responsible for all account-related issues such as bill payment, etc.); [2] they are at least 18 years of age at the time of entry; [3] they have been at their current residence (as principal dwelling) since May 1, 2012 and will remain at this residence through the end of the Promotion Period; [4] they reside in a home with a fully functioning smart meter installed by Oncor or CenterPoint on or before May 1, 2013, and certified as approved and accepted by Oncor or CenterPoint, respectively (customers may contact Oncor, CenterPoint or their Retail Electric Provider to confirm meter approval / acceptance); [5] the smart meter must serve only one (1) house, apartment, condominium or townhouse; [6] they are on a residential rate from one (1) or more Retail Electric Providers (REPs) at all times during the period beginning May 1, 2012 and ending August 31, 2013 and remain a customer in good standing during this time without any periods of disconnection; and [7] they agree to release usage data and entry information to Promotion Entities as defined below, as well as to Oncor and CenterPoint, respectively (each such consumer, a “Qualified Entrant” or “Entrant”). Any individual named a Grand or First Prize winner in the 2012 Biggest Energy Saver Contest is not eligible to win a Grand or First Prize in the 2013 Biggest Energy Saver Contest. By registering, Entrants confirm age and consent to having entry information shared with Grid 21 (“Sponsor”), and Marden-Kane, Inc. (the “Administrator” and, together with Sponsor, “Promotion Entities”). Employees, officers and directors of Promotion Entities, their respective parent companies, affiliates, subsidiaries, contractors, related entities, advertising, promotional, public relations, fulfillment and marketing agencies supporting the Contest, founding partners (Oncor and CenterPoint) and collaborators of the Biggest Energy Saver Campaign (Itron and Landis+Gyr), employees of the Public Utility Commission of Texas, and members of their immediate families (parent, child, sibling and spouse) or households (whether related or not) of any of the above, during the Promotion Period are not eligible to participate in the Promotion or to win any prize. Entrants deemed as Finalists or Cumulative Savers will be required to produce proof of age, proof of address, and proof of smart meter use, and agree to allow the information provided on their entry to become public knowledge. By entering the Promotion, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, as defined in further detail below, which shall be final and binding in all respects.

HOW TO PARTICIPATE / WINNER SELECTION:

i) Contest Call for Entries: To participate in the Promotion you must first register. There are two (2) ways to register: [1] go to www.BiggestEnergySaver.com (the “Promotion Website”) and provide the requested information on the registration form and read and agree to the Official Rules and Privacy Policy or [2] visit the Biggest Energy Saver application on the Facebook Platform at www.Facebook.com/BiggestEnergySaver, www.Facebook.com/Oncor or www.Facebook.com/CenterPointEnergy (collectively, the “Facebook Application”). and click on the “Promotion Icon” and then follow the on-screen instructions on the "Facebook BES" Application by providing the information required on the registration form and read and agree to the Official Rules and Privacy Policy. To participate in a Contest Period, Qualified Entrants must register prior to the start date of such Contest Period, as outlined in the chart below. Qualified Entrants are required to register only once throughout the Promotion Period and will then be automatically registered for any and all subsequent Contest Periods. Throughout the Promotion Period, Entrants are challenged with managing their electricity usage, as compared to a comparable period of time in 2012, by utilizing information from their smart meter. For Entrants in the Oncor service area who did not have a smart meter installed in 2012, usage data may be obtained by sending an email to contactcenter@oncor.com with “BES – History/Usage Request” noted in the subject line. Please note that usage history will be released only to the account holder of record. After submitting the requested registration information, the Entrant will be formally entered into the Contest (“Entry” or “Submission”). Should Entrants experience any technical difficulties with any aspect of submitting their Entry, they may utilize the Contact Us form found on the Promotion Website or on the Facebook Application. Promotion Entities will endeavor to respond to all requests promptly.

Each Contest Period described in this table begins at 12:00:00 AM CDT on the start date and ends at 11:59:59 PM CDT on the end date.

ii) Selection of Finalists / Finalist Notification For Each Contest Period: At the end of each Contest Period, up to five (5) Finalists from Oncor’s service area (“Oncor Finalists”) and up to five (5) Finalists from CenterPoint’s service area (“CenterPoint Finalists”) and, together with the Oncor Finalists, (the “Finalists”) will be determined. Potential Finalists will be identified based upon the greatest percentage decrease in electricity usage (based on kilowatt hours) during the Contest Period, as compared to a comparable period in 2012. Sponsor reserves the right to normalize all data for weather and meter read cycles as well as substitute estimated typical usage for non-use in case of sustained outages. In the event of a tie, the Administrator will conduct a random drawing amongst the tied Entrants to determine the Entrants to be named as potential Finalists. All decisions of the Promotion Entities are final and binding. The potential Finalists for each Contest Period will be notified by the Administrator utilizing information provided at registration, via mail and/or email and/or telephone within five (5) days after the conclusion of such Contest Period. All potential Finalists may be required to complete and sign [1] an Affidavit of Eligibility and Liability Release, [2] Background Check Consent Form, [3] a tax acknowledgement form, and [4] where legal, a Publicity Release; [5] each potential Finalists will also be required to provide a short summary of at least fifty (50) words and no more than two hundred fifty (250) words (“Summary”) discussing the steps that they took and tools utilized, if any, to reduce their electricity consumption during the Contest Period while utilizing smart meter data (collectively, the “Documentation”). All requested Documentation must be returned within five (5) days of initial issuance of written Finalist notification. Becoming a Finalist is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules. Finalists must also agree to speak in a public manner about their participation in the Contest (including, but not limited to, media) at a date and time provided by the Sponsor, if they are named as a prize winner. If a potential Finalist’s notification is returned as undeliverable or if requested Documentation is not returned within the stated timeframe, the potential Finalist will be disqualified and an alternate potential Finalist may be determined based upon the greatest percentage decrease in electricity usage (based on kilowatt hours) during the Contest Period, as compared to a comparable period in 2012, and will be notified as per the procedures described above, time permitting. A Summary cannot be revised or altered by a Finalist once submitted.

In addition, each Entrant acknowledges and agrees that the Promotion Entities reserve the right to disqualify a potential Finalist or Finalist at any time, in their sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted Documentation or any other forms requested by the Sponsor that, in their sole opinion, would constitute a breach of these Official Rules. Sponsor also reserves the right to confirm any and all elements contained within Entrant’s Entry and/or submitted Documentation.

EACH POTENTIAL FINALIST AGREES THAT THE SPONSOR MAY, AT ITS OPTION, CONDUCT, AND PERMIT THE ADMINISTRATOR TO CONDUCT A BACKGROUND CHECK ON HIM OR HER. WITHOUT LIMITING ANY OTHER RIGHTS OF THE SPONSOR SET FORTH IN THESE CONTEST OFFICIAL RULES, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY POTENTIAL FINALIST ON THE BASIS OF ANYTHING CONTAINED IN, LEARNED, OR OBTAINED AS A RESULT OF, SUCH BACKGROUND CHECK. UNLESS PROHIBITED BY LAW, POTENTIAL FINALIST WILL BE REQUIRED TO SIGN WAIVER FORMS AUTHORIZING THE RELEASE OF PERSONAL AND CRIMINAL BACKGROUND INFORMATION TO SPONSOR AND THE ADMINISTRATOR, AND TO COMPLETE A BACKGROUND QUESTIONNAIRE TO REMAIN ELIGIBLE FOR THE PROMOTION.

iii) Contest Judging: The Finalists’ Summaries will be judged by qualified representatives of the Sponsor based on the following criteria:

  • Documentation of how the Finalist used smart meter data to reduce their energy use 20%
  • Percentage reduction (in electricity usage) achieved during Contest Period 35%
  • Sustainability (ability to put in place for extended periods of time) and replicability of electricity savings measures (ability for other consumers to easily model behavior savings efforts) 45%

Once submitted, all materials and information provided as part of an Entry, including the Summary, become the property of the Sponsor and will not be returned. In the event of a tie between or among the Finalists, the Entries involved in the tie will be reviewed by an additional qualified judge who will serve as a tiebreaker utilizing the stated judging criteria. By submitting an Entry, Entrant irrevocably grants to Sponsor, its affiliates, agents and licensees, prize providers, as well as Oncor, CenterPoint, and the Public Utility Commission of Texas, the right to unconditionally and perpetually reproduce, copy, store, transmit, publish, display, adapt, revise, alter and/or otherwise use or reuse Entrant’s name, statements, biographical material, and Summary as well as any other materials arising out of their participation in the Promotion, including without limitation, their personal information provided at time of Entry, in any manner or media whatsoever (whether known or hereafter devised), worldwide, without notice or compensation, for advertising and promotional purposes. Subject to applicable law, Entrant waives any rights of privacy, intellectual property rights, and other rights that may preclude Sponsor from using or disclosing Entrant’s submissions and related materials or information provided as part of an Entry. Entrant releases Sponsor from any claims arising out of any use or disclosure of Entrant’s Entry consistent with these Official Rules. All accepted Entries will be screened and may be published at the sole discretion of the Sponsor. Without limitation to the foregoing, Sponsor may post any and all Entries on the Promotion Website or on the Facebook Application during and following the Promotion Period. The use or publication of an Entrant’s name or information in connection with the Promotion does not signify that the Entrant is a Promotion winner.

Any Summary submitted in connection with this Promotion (a) must be intended for a family audience and contain only content that, in the sole discretion of the Sponsor, is suitable for a general audience; (b) must not, in the sole discretion of the Sponsor, contain any sexually explicit, disparaging, libelous or other inappropriate content; (c) must not in the sole discretion of the Sponsor, contain any commercial content that promotes any product or service (with the exclusion of the Oncor or CenterPoint installed smart meter and the Smart Meter Texas portal); and (d) must not contain any trademarks, copyrighted works or other intellectual property. Any elements contained in the Submission, including without limitation other materials (collectively, “Elements”), must be entirely original and created by Entrant. Use of any Elements that are not original to Entrant (e.g. copyrighted material) may result in disqualification.

If a Finalist is found to have engaged in fraud, unethical behavior, collusion or “gaming” (including, without limitation, not living in the residence during the Promotion Period, using a generator to power household appliances during the Promotion Period, going on an extended vacation during the Promotion Period, or not running his/her air conditioner at all during the Promotion Period), in Sponsor’s sole opinion, he/she will be disqualified as a Finalist and will not be eligible to win a prize in this Promotion. All decisions of the Sponsor are final and binding. Becoming a winner is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules.

iv) Contest Period Winner Notification and Verification: At the conclusion of each Contest Period, two (2) potential winners (“potential Winners”) one (1) potential Winner from Oncor’s service area and one (1) potential Winner from CenterPoint’s service area will be selected based on the judges scores on the Entries of the confirmed Finalists for that Contest Period. Potential Winners will receive a notification via email and/or telephone that they have been selected as a potential Winner for the given Contest Period. If the potential Winner of any Contest prize cannot be contacted; is ineligible; or fails to properly claim the prize in accordance with these Official Rules; if the prize notification / prize is returned as undeliverable; or if the potential Winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and an alternate potential Winner will be chosen by the Sponsor from among the remaining eligible Entries, applying the same criteria as described in these Official Rules. Upon final verification, the Promotion Website and/or the Facebook Application will be updated to showcase the winners selected for both Oncor and CenterPoint (each such winner, a “Winner”).

v) Cumulative Saver Selection/Notification: At the conclusion of Contest Period 3, four (4) “Cumulative Savers” (two (2) from Oncor’s service area and two (2) from CenterPoint’s service area) will be selected based upon the greatest percentage decrease in electricity usage (based on kilowatt hours) during the entire Promotion Period, as compared to a comparable period in 2012 as well as documentation of use of smart meter data and sustainability / replicability of energy-saving measures as described in section iii) above. Unless officially named as a Contest Period Winner (by the Administrator), all Entrants are eligible to be named as Cumulative Savers. The selection of the Cumulative Savers will be determined by representatives of the Sponsor. Sponsor reserves the right to normalize all data for weather and meter read cycles as well as substitute estimated typical usage for non-use in case of sustained outages. In the event of a tie, the Administrator will conduct a random drawing amongst the tied Entrants to determine the Entrants to be named as Cumulative Savers. Contest Period Winners are not eligible to become a Cumulative Saver. However, a Contest Period Finalist who was not selected as a Contest Period potential Winner is eligible to be selected as a Cumulative Saver. If a selected Cumulative Saver was not previously selected as a Finalist, they will be notified by the Administrator utilizing information provided at registration, via mail and/or email and/or telephone and will be required to submit all Documentation as referenced above in the “Selection of Finalists / Finalist Notification” section, including the Summary, and shall be referred to as a “potential Cumulative Saver”, subject to all the terms and requirements of a potential Finalist and/or Finalist set forth in these Official Rules. All requested Documentation must be returned within five (5) days of initial issuance of written potential Cumulative Saver notification. If a potential Cumulative Saver notification is returned as undeliverable or if requested Documentation is not returned within the stated timeframe, the potential Cumulative Saver will be disqualified and an alternate potential Cumulative Saver may be determined based upon the greatest percentage decrease in electricity usage (based on kilowatt hours) during the entire Promotion Period, as compared to a comparable period in 2012, and will be notified as per the procedures described in these Official Rules, time permitting.

vi) Contest Period Winner and Cumulative Saver Video Submission: All Contest Period Winners and Cumulative Savers proceeding to the Public Voting Period of the Contest (as detailed below) will be required to submit a video to accompany their Summary which will be posted on the Promotion Website and Facebook Application for Public Vote. The video should be in support of the description of the steps that the Contest Period Winner or Cumulative Saver took and tools utilized, if any, to reduce his/her energy consumption during the Promotion Period (“Video Submission”).

Video Requirements: Video Submissions must be in English and must be at least thirty (30) seconds in length and cannot exceed sixty (60) seconds in length. Video must be sent to the Administrator (instructions on where to send the video will be included in the notification documents). The Video Submission Period begins at 12:00:00 AM CDT on 9/18/13 and ends at 11:59:59 PM CDT on 9/25/13. Video Submission must be created in one of the following file formats: .WMV, .AVI, .MOV, or .MPG and may not be larger than 50 MB in size. In addition to these Video Requirements, the Video Submissions must be intended for a family audience and contain only content that, in the sole discretion of the Sponsor, is suitable for a general audience and must not:

  • Include trademarks, logos, or copyrighted material not owned by Entrant or used without permission (such as company names, music, photographs, works of art, or images published on or in apparel, websites, television, movies, or other media).
  • Use individual or family names, in whole or in part (including the Entrant’s last name) without permission of the applicable rights-holder(s).
  • Refer to public figures.
  • Contain profanity, pornographic, or sexual content; content promoting alcohol, illegal drugs, tobacco, firearms, or weapons; hateful content of any kind (including racism, sexism, etc); content that promotes violence or harm to another living creature; or any other offensive, obscene, or inappropriate content.
  • Defame, misrepresent, or contain disparaging remarks about other people or companies, including, but not limited to the Promotion Entities.
  • Promote a political agenda regardless of the political affiliation.
  • Contain materials embodying the names, likenesses, photographs, or other identifying elements of any person, living or dead, without permission of the applicable rights-holder(s).

Sponsor and/or Administrator, and/or their designated representatives, will review all Video Submissions received from Contest Period Winners and Cumulative Savers and will post on the Promotion Website and/or on the Facebook Application for Public Voting. Only those Video Submissions that conform to these Official Rules, as determined by the Sponsor and/or Administrator in their sole discretion will be posted. Entries that do not comply with these Official Rules, as determined in Sponsor and/or Administrator’s sole discretion, will be disqualified from the Contest. Decisions of the Sponsor and/or Administrator are final and binding.

PUBLIC VOTING: Entries (Summary and Video Submission) of the Winners from each Contest Period (total of six [6] Winners) along with the Cumulative Savers (four [4] Cumulative Savers) will be posted on the Promotion Website (www.BiggestEnergySaver.com) and/or on the Facebook Application. Voting will begin at 12:00:00 AM CDT on 9/30/13 and will end at 11:59:59 PM CDT on 10/6/13 (“Voting Period”). After providing requested information, Promotion Website visitors and/or visitors to the Facebook Application will be able to vote for the Entry that best presents the steps the Entrant took to reduce their energy consumption (using the Judging Criteria noted above in the “Contest Judging” section). Voting is limited to one (1) vote per person/email address per day during the Voting Period. A “day” is defined as a 24-hour period beginning at 12:00:00 AM CDT and ending 24 hours later. Entrants may vote for themselves. All online voting will be under the supervision of the Sponsor, whose decisions are final in all matters relating to this Promotion. Any Entrant found to be encouraging fraudulent voting will be disqualified. Any votes submitted on Promotion Website or via the Facebook Application user in excess of stated daily maximum limitation will be void. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, voting by proxy for yourself or any other person or offering prizes, services or anything of value or other inducements to members of the public, all as determined by the Sponsor and/or Administrator in their sole discretion. Entrant may be asked by Sponsor and/or Administrator to provide an explanation of how they promoted their Entry to accumulate votes.

WINNER SELECTION: At the conclusion of the Voting Period, Entries of the six (6) Contest Period Winners and four (4) Cumulative Saver will be judged by qualified representatives of the Sponsor based on the following criteria:

  • Percentage reduction (in electricity usage) achieved during Contest Period 10%
  • Documentation of the measures (including any tools used such as data obtained from Smart Meter Texas [www.smartmetertexas.com], data from the advanced meter, etc.) that Entrant took to reduce energy use 25%
  • Total number of votes received during the Voting Period 30%
  • Sustainability (ability to put in place for extended periods of time) and replicability of electricity saving measures (ability for other consumers to easily model behavior savings efforts) 35%

The one (1) Oncor and one (1) CenterPoint Entry with the highest score based on the above judging criteria at the end of the Voting Period will be deemed the Grand Prize Winners (subject to verification). The next highest scoring Entry for each service area (Oncor and CenterPoint) will be deemed the First Prize Winners with the balance named Second Prize Winners. In the event of a tie between or among any Entrants, the Entries involved in the tie will be reviewed by an additional qualified judge selected by the Sponsor who will serve as a tiebreaker utilizing the above stated judging criteria. Becoming a Prize Winner is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules. The decisions of the Promotion Entities are final and binding in all matters relating to this Promotion, including interpretation and application of these Official Rules.

GRAND PRIZE, FIRST PRIZE AND SECOND PRIZE WINNER ANNOUNCEMENT: Upon completion of the Voting Period and final Grand Prize, First Prize and Second Prize Winner verification, the Promotion Website and/or the Facebook Application will be updated to showcase the Grand Prize, First Prize and Second Prize Winners of the Promotion (the “Winners”) on or about October 10, 2013.

WARRANTY: By entering the Promotion and being named a Monthly Contest Finalist and/or Cumulative Saver - each Contest Finalist and Cumulative Saver represents and warrants that with respect to any Submissions made in connection with this Promotion (a) Entrant’s Submission was submitted by Entrant; (b) the Submission is original to Entrant and does not infringe upon or otherwise violate any right of any third party; (c) Entrant has all rights necessary to submit the Submission, including all necessary authorizations and permissions from any persons included in the Submission; (d) that the Submission does not include unlawful, threatening, libelous, defamatory, obscene, or pornographic or other prohibited material; and (e) does not contain advertising for third-party products or services (with the exclusion of the Oncor or CenterPoint installed smart meter and the Smart Meter Texas portal). Sponsor reserves the right to modify the number of Contest Finalists and Cumulative Savers if not enough eligible Entries are received at the conclusion of any Contest Period. Sponsor also reserves the right to terminate the Promotion if not enough qualified Entries are received at the conclusion of the Promotion Period and award prizes to only those qualified Entries received. If any portion of the Promotion Period is extended or if the Promotion is terminated, such notice will be published on the Promotion Website at www.BiggestEnergySaver.com and/or on the Facebook Application and an email will be sent to all registered Entrants informing Entrants of such. All decisions of Sponsor are binding and final.

INDEMNIFICATION: BY ENTERING THE PROMOTION, ENTRANTS AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS PROMOTION ENTITIES, AS WELL AS THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, RETAILERS, RELATED ENTITIES, PARTNERS AND COLLABORATORS ON THE BIGGEST ENERGY SAVER CAMPAIGN (INCLUDING, BUT NOT LIMITED TO, ONCOR, CENTERPOINT, AND THE AFFILIATES AND SUBSIDIARIES OF EACH), AGENCIES AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS OF EACH OF THE FOREGOING (COLLECTIVELY, “INDEMNIFIED PARTIES”), FROM AND AGAINST ANY AND ALL CLAIMS AND DAMAGES, INCLUDING WITHOUT LIMITATION THOSE RELATED TO BODILY HARM, MEDICAL EVENTS, VIOLATION OF PROPRIETARY OR PERSONAL RIGHTS, AND VIOLATIONS OF LAW (COLLECTIVELY, “CLAIMS AND DAMAGES”), WHETHER DIRECT OR INDIRECT, WHICH MAY BE DUE TO OR ARISE OUT OF PARTICIPATION IN THE PROMOTION, OR IN PROMOTION-RELATED ACTIVITIES, OR THE ACCEPTANCE, USE/MISUSE OR POSSESSION OF ANY PRIZE THAT MAY BE AWARDED PURSUANT TO THIS PROMOTION, ALL REGARDLESS OF WHETHER SUCH CLAIMS AND DAMAGES ARE CAUSED BY THE SOLE, JOINT, CONCURRENT, CONTRIBUTING OR COMPARATIVE NEGLIGENCE OR FAULT OF THE INDEMNIFIED PARTIES.

Total ARV of all prizes is $27,000. Contest prizes will only be awarded upon Winner verification and final approval of Sponsor and their designees. No prize substitution, cash value, transfer or assignment of any prize permitted, except by Sponsor in its sole discretion, or as otherwise provided herein. Gift Cards are subject to terms and conditions printed thereon. Limit of one (1) Contest Period Prize and one (1) Grand Prize, First Prize or Second Prize per person. Any difference between actual retail value and maximum approximate retail value noted above will not be awarded in cash. Sponsor reserves the right to award a prize or portion thereof of equal or greater value if any prize or portion thereof becomes unavailable. Sponsor reserves the right to award up to only the number of prizes stated above. Any and all other expenses incurred but not listed herein are Winners’ responsibility. Prize images utilized in support of this Promotion may not reflect the actual size, style, color or models of the actual prizes due to printing variations and/or manufacturer’s updates. Prizes will be shipped upon confirmation that Entrant has met stated eligibility criteria.

TAX INFORMATION: Any federal, state, local, and other taxes on prizes are the sole responsibility of each respective Winner.

DISCLAIMERS, FORCE MAJEURE, SOLE DISCRETION: Promotion Entities are not responsible for: (a) electronic transmissions or Entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected, all of which are void; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures, destruction or unauthorized access to, or alteration of, Entries; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to any Entrant’s or any person’s computer and/or its contents, or causes beyond the Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; or (d) any Entries submitted in a manner that is not expressly allowed under these Official Rules. If for any reason this Promotion cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Promotion, or if this Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, or if fire, flood, explosion, war, embargo, government requirement, fraudulent, criminal or negligent acts, security breaches, civil or military authority, terrorism, acts of God, acts or omissions of carriers, or any other cause beyond Sponsor’s control interferes with the process of the Promotion as contemplated by these Official Rules, as determined by Sponsor in its sole discretion, Sponsor, may, without prior notice, terminate, modify or suspend the Promotion, in whole or in part. If this Promotion is terminated before the original end date, Sponsor reserves the right, at its sole discretion, to determine the potential Winners and Winners from among all non-suspect, eligible Entries received up to the time of such action using the judging procedure set forth herein. In the event of termination of the Promotion, Sponsor will post a notice regarding the termination on the Promotion Website and/or on the Facebook Application. Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the Entry process or who enters or votes using any automatic or programmed Entry duplication method or automated voting method. All decisions of Sponsor are final.

The Promotion Entities do not assume any responsibility for any disruption in the Promotion caused by circumstance or other unforeseen events outside of the control of the Promotion Entities. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Promotion materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.

GENERAL INFORMATION: In the event of any dispute on rights to any Promotion prize, said prize will be provided to the authorized account holder. The “authorized account holder” is defined as the natural person responsible for all account-related issues such as bill payment, etc. Each potential Winner must provide Sponsor with satisfactory proof (as determined via Sponsor’s sole discretion) that he/she is the authorized account holder associated with the potentially winning Promotion Entry. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. By entering the Promotion, each Entrant recognizes and agrees that the Entry information provided by Entrant will be made available to Sponsor and that the use of such information will be governed by Sponsor’s privacy policy available at http://biggestenergysaver.com/privacy/. Any and all disputes will be resolved in the appropriate courts in the District of Columbia exclusively, and subject to the laws of the District of Columbia should there be a conflict between the laws of the District of Columbia and any other laws, the conflict will be resolved in favor of the laws of the District of Columbia. Each Entrant irrevocably consents to the personal jurisdiction of said courts and waives any claim of forum non-conveniens or lack of personal jurisdiction such Entrant may have.

WINNERS: Names of all Winners will be posted to the Promotion Website, www.BiggestEnergySaver.com and/or on the Facebook Application when announced. Winners’ names will be posted for a minimum of 30 days following awarding of the prizes.
